Yes it's just about who is signed up with EA or not and who they have access to etc. I think mutleaks had a list when the game came out of all the legends available (although no guarantee they get cards).
Barry Sanders is a good example of someone who took back his rights so won't be in the game again unless he changes his mind.
With people like Cam Newton it's more of a grey area as he hasn't officially retired, but also isn't playing, but he does have a card in CUT so you would think he would have one coming in MUT.

So, they have the rights to pretty much all unretired players. But for retired players, they have to have some sort of deal?

Yes basically, I believe when active players sign their contracts in the NFL they also give permission for certain rights like likeness and consent for merch and games etc, so I think if you're an active player EA can use you if you've agreed to it.
Although players are becoming more aware of what they are signing nowadays, Marvin Harrison Jr took issue with some of those things which led to his jersey not being available forever for example.
For retired players they aren't held by that contract, so they can choose if they want their likeness and name etc used, it's up to them (or their families if they are dead) if they feel the compensation is worth it.
